Calling a bond sale competitive was not enough to use the IRS's special pricing route. The final issue-price rule published December 9, 2016 defined conditions for that treatment, including equal bidding opportunity and bids from at least three municipal-bond underwriters with established industry reputations. This December 10 weekend account examines that Friday action, not a new announcement. [2016-29486][2015-15411]

The issuer also had to distribute its sale notice in a manner reasonably designed to reach potential underwriters and award the sale to the firm offer with the highest price or lowest interest cost. With the prescribed winning-bidder certification, the issuer could use the reasonably expected initial public offering price as of the sale date. The mechanism tied the pricing option to a specified bidding process. [2016-29486][2015-15411]

The June 2015 proposal had explored an alternative based on initial offering price with restrictions lasting until issuance and a market-change exception. The final provided a separate optional initial-price route with a written price ceiling ending at the earlier of the fifth business day's close after sale or qualifying substantial sales. These alternatives should not be collapsed into one universal pricing obligation or treated as evidence that every sale attracted meaningful competition. [2016-29486][2015-15411]

The final rule became effective December 9, while the definition applied to bonds sold on or after June 7, 2017. Its focus was arbitrage restrictions for tax-advantaged borrowing, not investor returns. The market implication is conditional: procedural competition can support a permitted pricing method, but the same-chain agency documents do not measure bidding intensity, reduced interest costs or entry by new underwriting firms.
